CLEANER PAL LTD Company number NI721429 Registered in Northern Ireland Supplied throughout the United Kingdom
These Terms govern use of CleanerPal office software, booking pages, and related apps we provide to cleaning firms anywhere in the United Kingdom (England, Scotland, Wales, and Northern Ireland).
1. Who these terms are for
CleanerPal Office is sold to cleaning businesses (companies, partnerships and sole traders buying for their business). These terms assume a business-to-business contract. If you are buying as a consumer, tell us before Checkout so we can confirm whether we can supply you and which consumer rules apply.
2. Who we are
We are CLEANER PAL LTD (company number NI721429). We are not VAT-registered. We are registered with the Information Commissioner's Office under number ZC088491.
We supply software and related services to cleaning businesses throughout the United Kingdom. We are not the employer of a firm's staff. We are not a party to the cleaning contract between a firm and a householder. Stripe Connect payments a householder makes for a clean are taken by the firm, not by us as merchant of that clean.
The only party the firm contracts with is CLEANER PAL LTD. No director, shareholder, employee, or officer of CLEANER PAL LTD is a party to these Terms. No personal guarantee is given. The firm must not bring a claim, in contract or otherwise, against any individual connected with CLEANER PAL LTD in respect of the service. Any such claim must be brought against CLEANER PAL LTD only.
3. What we supply
Depending on the plan a firm buys from us, we may supply:
- office software for jobs, customers, invoices, staff diaries, and settings;
- a hosted or embedded booking page;
- a firm website product;
- mobile apps for office, field staff, and the firm's own customers.
The same office product is available on every paid plan we sell. Prices and plan names are as shown at checkout at the time of purchase.
We do not operate a marketplace that sends work to unrelated firms. We do not take a platform cut of money a householder pays a firm for a clean. We do not sell in-app purchases for cleaning jobs.
4. Accounts and access
The firm is responsible for who it invites, for keeping login details safe, and for activity under its accounts.
These Terms are a business-to-business contract. The firm confirms it is acting in the course of its business and is not a consumer. The service is not supplied to consumers.
The service is supplied for use throughout the United Kingdom. We may refuse or end access where use is outside the United Kingdom or contrary to these Terms.
If the firm wants different contract terms, it must ask in writing before paying. Using the service after checkout is acceptance of these Terms as written.
Seats, trials, and plan limits apply as shown in the product and at checkout. A trial, where offered, lasts 14 days from the trial start date recorded on the firm's account unless we agree otherwise in writing.
5. Money
5.1 Paying us for software
Fees for CleanerPal software are charged by us through Stripe Checkout or an equivalent Stripe flow in the currency shown at checkout. Subscriptions renew until cancelled in accordance with the product and Stripe's customer portal where we provide one.
5.2 Householders paying the firm
Where a firm takes card payments from householders through CleanerPal, those payments go to the firm's own Stripe Express account. We are not the merchant of record for that clean. Payouts, refunds, chargebacks, and tax on those amounts are the firm's responsibility.
The firm must complete Stripe Connect onboarding and keep that account in good standing. We do not store card numbers on our servers for that flow.
5.3 Invoices the firm issues
Invoices, quotes, and related documents the firm issues through the software are the firm's documents. Where we supply an HTML download or email, that file is an HTML document unless we separately supply a PDF.
The firm must not present our company as the supplier of the clean.
6. Refunds and cancellations
You can cancel your subscription at any time from the office billing settings. Cancellation stops the next renewal. You keep access until the end of the period you have already paid for. We do not refund unused days in a paid month unless the law says we must.
The 14-day trial on Office and Office with booking is the full plan you chose. There is no volume cap. The same email, phone or bank account cannot start another trial. You can change plan during those 14 days. The start date stays on the first plan, and the amount billed at the end follows the plan you are on then. A file exported from a trial is marked as trial data and cannot be imported into a different trial. If you cancel during the trial and we have not charged you, you pay nothing for that trial.
Office with a site and Office with a customer app do not start on a trial. You can move onto them during an open trial without restarting the 14 days. The £500 customer-app setup fee is refundable only if we have not started setup work. Once setup has started, the £500 is non-refundable. Monthly plan fees follow the cancellation rules above.
Failed card charges do not create a subscription. Chargebacks are handled under Stripe's process; we may suspend access while a dispute is open.
7. Data
Each firm's operational data is stored in a firm-specific database we operate for that firm. The firm is the controller of its customer, job, staff, and invoice records. We process that data as a processor under our Data Processing Addendum, except for account, billing, and security data we process as controller as described in our Privacy Notice.
The firm must not attempt to access another firm's database or to pass a customer login that grants access to a firm database identifier.
8. Field apps and location
Field apps show the work the office has assigned. They do not reschedule jobs except where the office has turned that on.
Live map and GPS features stay off unless we have enabled them for that firm under a written decision and a completed data-protection assessment. The product must not be used to imply that we track staff in real time when that feature is off.
9. Acceptable use
The firm must not:
- use the service to send unlawful messages;
- probe, scrape, or overload the service;
- upload malware or content it does not have the right to use;
- misrepresent plan limits, trial status, or payment status;
- use the service as a general marketplace or to sell a fifth product we do not offer.
We may suspend access where we reasonably believe these rules are broken or where Stripe or a bank requires it.
10. Intellectual property
We own the CleanerPal software, brand, and documentation. The firm owns its own customer content, job records, and logos it uploads. The firm grants us a licence to host that content solely to provide the service.
11. Availability and support
We aim to keep the service available but do not warrant uninterrupted access. Scheduled maintenance and faults can occur. Support is provided through the channels we publish for the firm's plan. These Terms do not include a service-level agreement, uptime target, or service credits.
12. Liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law in England, Scotland, Wales or Northern Ireland.
Subject to that, our total liability to you under or in connection with these terms (whether in contract, tort including negligence, or otherwise) is limited to the total fees you paid us for CleanerPal Office in the 12 months before the claim arose.
We are not liable for loss of profit, loss of business, loss of data (except as required under the data processing agreement), or any indirect or consequential loss, to the extent the law allows.
12A. Indemnity from the firm
The firm will indemnify CLEANER PAL LTD (and its directors, shareholders, employees, and officers) against claims, costs, and losses arising from: the firm's cleans; the firm's staff; the firm's invoices and marketing; householder complaints; Stripe Connect disputes; content the firm uploads; and any claim a householder or staff member brings against CLEANER PAL LTD or those individuals in connection with the firm's business.
12B. Our indemnity for our software
If a third party claims that the CleanerPal software we supply, used as we provide it, infringes that third party's UK intellectual property, we will defend the firm and pay damages finally awarded against the firm on that claim, provided the firm tells us promptly, lets us control the defence, and does not admit liability.
That indemnity does not apply where the claim arises from the firm's data, a modification the firm made, use with other software we did not supply, or use outside these Terms.
Our total liability under this clause 12B is included in the cap in clause 12. It is not extra.
13. Cancellation
The firm may stop using the service and cancel a subscription as the product allows. We may end the contract for material breach if it is not remedied within 14 days of notice, or immediately for unpaid fees, unlawful use, or a requirement from Stripe or a regulator.
On ending, the firm may export its own records using the export tools we provide, for a reasonable period we specify.
14. Changes
We may update these Terms. Continued use after the effective date we publish is acceptance of the new Terms. Material changes will be notified to the office admin email we hold.
15. Law
These Terms are governed by the law of Northern Ireland. The courts of Northern Ireland have exclusive jurisdiction, except that we may seek interim relief in any court.
